  • Federal income and state franchise tax structures
  • Tax planning and counsel in real estate transactions to developers, investors and real estate professionals, such as planning for capital gains, passive activity loss and at-risk rules, and deferral of gains under §1031
  • Estate planning and probate matters, including design and preparation of wills, trusts, family business enterprises, retirement plans, beneficiary designations, marital agreements, and other estate planning tools
  • Tax-exempt organizations (e.g. nonprofits, public charities, private foundations, and trade associations), whether in their formation or in securing and maintaining exempt status, as well as other operational aspects affecting tax-exempt organizations including self-dealing, private inurement, and unrelated business tax issues
  • Retirement plans, nonqualified deferred compensation plans, plan administration, and governmental reporting under ERISA, COBRA, and other federal and state laws
  • Preparation of gift and estate tax returns, assisting client in IRS audits, and examination of returns
